Terms and Conditions for use

1. DEFINITIONS

1.1. The expression "the Platform" shall mean the website self-service accessible through www.legego.com which is operated by company MB “Rinkos studija” incorporated in Lithuania and with registered number 304763697.

1.2. Wherever found in the Terms and Conditions as "Traveler", it refers to the user of the Platform and its functionality, any person/subject/company. Also words "Legego" refer to the company MB “Rinkos studija” incorporated in Lithuania and with registered number 304763697 and should be interpreted accordingly. The expression "Third Party" refers to any person/subject/company which are not enabled to use the Platform under the agreement between the Legego and the Traveler.

1.3. “Intellectual Property Rights” means copyright, rights in or relating to databases, patent rights, performers’ rights, designs and registered designs, trademarks, rights in or other intellectual property rights (registered or unregistered) throughout the world.

1.4. “Platform functionality” means Platform features accessible by the Traveler through the Platform.

1.5. “Content” means all and/or any information being uploaded by the Traveler or other lawful users of the Platform on the Platform that can be accessed by the Traveler.

1.6. “Account” means the Platform user account under the name of the Traveler in relation to the Platform functionality available for the Traveler.

1.7. “Journey” means available to order travel plan located in the Content created and uploaded by other Travelers.

1.8. “Terms and Conditions” means these terms and conditions of self-service accessible via https://www.legego.com which are the subject to the Traveler’s access to and usage of the Platform together with Privacy Policy which is incorporated in and made a part of these Terms and Conditions by reference.

2. ACCEPTANCE OF TERMS

2.1. All Travelers who want to purchase Journeys using the Platform and/or use the functionalities of the Legego website must familiarize themselves with the Terms and Conditions. The Traveler agrees to be bound to the terms of these Terms and Conditions. These Terms and Conditions are an extension of the separate agreement between the Traveler and the Legego applicable if the Traveler wants to be a Content creator. Terms and conditions of such agreement are a directly applicable agreement between the Legego and the Traveler and govern the Traveler’s use and access to the Platform. They apply to the exclusion of any other terms that the Traveler seeks to impose or incorporate, or which are implied by law, trade custom, practice or course of dealing. However, Legego is not an accommodation, travel organiser, travel retailer or trader of a set of tourism services providers. The Legego enables placement of Content on the Platform and usage of specific available „as is“AI-based tools for the Content. Therefore Traveler, using the Platform and its functionality, accordingly may:

2.1.1. order such available Journeys created by other Travelers, under the conditions specified in these Terms and Conditions, or

2.1.2. offer to other Traveler available Journeys created by him, under the conditions specified in these Terms and Conditions

2.2. Age Limitations. The Services are not intended to be used by anyone under the age of 18. If you are under the age of 18 please stop using the Services immediately.

2.3. By using the Platform, the Traveler is fully accepting the terms, conditions and disclaimers contained in these Terms and Conditions. If the Traveler does not accept these Terms and Conditions the Traveler must stop using the Platform immediately.

3. GENERAL OVERVIEW

3.1. The Platform and its Content are available to all Travelers who successfully created an Account according to these Terms and Conditions.

3.2. The Traveler uses the Platform at the Traveler’s own risk. The Legego is not responsible for any Content chosen by the Traveler on the Platform.

3.3. Any Content provided by the Traveler under these Terms and Conditions is personal to the Traveler and cannot be transferred or assigned to any other person unless specified otherwise on additional documents supplied by the Legego.

3.4. The Legego enables the Traveler to upload the Content and will also provide the Traveler with login details. The Legego will also manage the Traveler’s access to the Content and provide support to the Traveler, where necessary.

3.5. The Traveler understands and agrees that Platform functionality and Content is provided on to ''AS IS'' and ''AS AVAILABLE'' basis. Nothing in these Terms and Conditions is intended to, and shall not, constitute an offer to provide the Platform functionality as a contractual right of the Traveler or to give any Third party rights as a beneficiary or any other rights directly enforceable against the Legego. Therefore, Legego reserves its right to vary or withdraw any of the Platform functionality and Content described on the Platform without any given notice.

3.6. Parts Legego's website offers an opportunity for users to post and exchange opinions and information in certain areas of the website. Content does not reflect the views and opinions of Legego, its agents and/or affiliates. Content reflects the views and opinions of the person who posts their views and opinions. To the extent permitted by applicable laws, Legego shall not be liable for the Content or any liability, damages or expenses caused and/or suffered as a result of any use of and/or posting of and/or appearance of the Content on its website.

3.7. The Legego reserves the right to:

3.7.1. change or remove (temporarily or permanently) the Platform or any part of it without any given notice and Traveler confirms that Legego shall not be liable to the Traveler for any such change or removal; and

3.7.2. change these Terms and Conditions at any time, and the Traveler’s continued use of the Platform following any changes shall be deemed as acceptance of such change.

4. ACCOUNT

4.1. The Traveler needs to create an Account for most activities on the Platform, including the ability to choose available Journeys, mark available Journeys which the Traveler likes, and create a Journey.

4.2. After the creation of an account, the Traveler receives an email to confirm his email address. Once the Traveler confirms his email address, the account will be active. The Traveler is responsible for all use of the Platform made using its user ID and password, including the creation of the new password following instructions provided by the Legego.

4.3. If Traveler creates an account on behalf of a business, Traveler confirms that have the authority to bind such entity to these Terms. Some functions of Legego services are restricted until the creation of an Account. By creating an Account, the Traveler agrees to provide truthful and up-to-date information, be responsible for activities happening under the account and accept the risk of any access to the Account. Legego reserves the right to refuse (without justification and recourse or compensation) the registration of any account for any reason, at any time, in its sole and absolute discretion.

4.4. Traveler grants the Legego permission to use Traveler’s name, e-mail address and other identifiers used by the Traveler in Traveler's account profile for the contractual relationship between Traveler and the Legego. Traveler may revoke the foregoing permission by deleting Traveler’s account. However, the Content provided by Traveler (project, report information, etc.) via Platform may be seen and used by the Legego even after the deletion of Traveler’s account.

4.5. Traveler warrants to the Legego that:

4.5.1. all information which Traveler had submitted by the created Account is accurate, current and complete; and;

4.5.2. Traveler shall keep its Account information accurate, current, complete and updated at all times;

4.5.3. Traveler is the owner of the primary email address used to set up the Account.

4.5.4. Traveler will not pass, sell, or transfer the ownership of the Account to another person or entity in any form.

4.5.5. No other

4.6. If the Legego has any reason to believe that Account information is untrue, inaccurate, out-of-date or incomplete, the Legego reserves the right, in its sole and absolute discretion, to suspend or terminate the Account.

4.7. Traveler’s Account enables Traveler’s access to the Platform and its specific Content. An account provides the Traveler with abilities specified in paragraph No. 6.5 of these Terms and Conditions.

4.8. Traveler (any person/subject/company) can only use one Account. Multiplying Traveler Accounts shall be held as an illegal activity and will result in permanent termination of the Account.

4.9. In addition, Legego may occasionally notify Traveler about all and/or any changes and/or modifications made via Account. Accordingly, the Traveler shall check regularly its Account and notifications throughout each week.

4.10. Once the Traveler logged-in its Account, the Traveler can choose and view specific Platform functionality offered by the Legego. However, the Traveler should pay attention to the fact that some functionality and Content may be available for a limited period only.

4.11. The Traveler shall not access or use the Platform functionalities or create an Account for any unlawful purposes. Traveler’s use of the Account and behaviour on the Platform must comply with applicable laws. Traveler is solely responsible for the knowledge of and compliance with such laws and regulations.

4.12. The Traveler is solely responsible for all and any activities that occur on its Account, whether the Traveler authorized it or not. Traveler must keep its Account information secure, including without limitation Traveler’s login, and password. If Traveler suspects someone else is using its Account, he should let Legego know by contacting the Support Team immediately after such suspicion has occurred.

4.13. The Traveler reserves its right to terminate its Account at any time by following the steps here. The Traveler shall check the Privacy Policy to see what happens when the Account is terminated.

4.14. The traveler who created an Account is responsible for maintaining the security of the Account, for all activities that occur under the Account and any other actions taken in connection with it. Providing false contact information of any kind may result in the termination of the Traveler Account. Traveler must immediately notify Legego of any unauthorized uses of the Account or any other breaches of security. Legego will not be liable for any acts or omissions by Traveler, including any damages of any kind incurred as a result of such acts or omissions. Legego may suspend, disable, or delete the Account (or any part thereof) if it is determined that the Traveler has violated any provision of this Agreement or that content would tend to damage Legego's reputation and goodwill. If Legego delete an Account for the foregoing reasons, the Traveler may not re-register for our services. Legego may block Traveler's email address and Internet protocol address to prevent further registration.

5. THE CONTENT

5.1. All Platform information (including, without limitation, the Platform design, text, graphics and all software and source codes connected to the Platform) or parts supplied together with the Platform that are protected with copyrights, remain, under any circumstance, ownership of Legego. Other trademarks appearing on the Platform are the property of their respective owners. The Traveler is not entitled to use any protected content or material without having explicit authorization from Legego and the specific owner of intellectual property. The authorization relates only to the uses described in the Terms and Conditions and no other.

5.2. Scope of Licenses. The Legego grants Traveler a licence to use the Platform, its functionality and specific Content. This licence is limited, revocable, non-exclusive, non-sublicensable and non-transferable, and is subject to the rights and obligations granted under these Terms and Conditions. If not stated differently licence is personal to the Traveler and cannot be shared or exchanged with others.

5.3. All Platform information (including, without limitation, the Platform design, text, graphics and all software and source codes connected to the Platform) and Content, or parts supplied together with the Platform that are protected with copyrights, remain, under any circumstance, ownership of Legego. Other trademarks appearing on the Platform are the property of their respective owners. The Traveler is not entitled to use any protected content or material without having explicit authorization from Legego and the specific owner of intellectual property. The authorization relates only to the uses described in the Terms and Conditions and no other.

5.4. Traveler grants Legego a non-exclusive license to use, reproduce, edit and authorize others to use, reproduce and edit any of Traveler’s Content in all forms, formats or media.

5.5. Subject to the terms hereof, the Legego grants the Traveler access to the Platform functionality and specific Content of the Platform. This includes the right to:

5.5.1. View account details;

5.5.2. Create a Journey;

5.5.3. View existing Journeys;

5.5.4. Rate Journeys;

5.5.5. Edit personal details;

5.5.6. Use other related functionality that the Legego may provide to the Traveler.

5.6. The Platform Legego reserves its right (in its sole discretion) to refuse to upload or remove any Content from the Platform.

5.7. Any Content created by Traveler and provided to be placed on the Platform must confirm formats, sizing and similar requirements indicated in the Platform. Legego does not take responsibility for any non-confirmation of such requirements. Uploaded files shall not transmit any worms or viruses, be corrupt or contain any code, files, or programmes of a destructive nature.

5.8. By uploading Content, Traveler confirms that have the right to use Content, i.e. (i) Traveler created images, video or texts himself from original elements and is the sole owner of intellectual property rights or (ii) have the rights owner’s written permissions (license) to use images, video or texts and modify it. Travelers cannot use images, video or texts if certain elements of images, video or texts have been copied without written permission (licence).

5.9. By uploading images, videos or texts Traveler also confirms that the uploaded image, video, or text complies with all applicable laws and rules laid down in these Terms and Conditions.

5.10. Traveler’s uploaded image, video or text and any element of it thereof must not:

5.10.1. infringe any copyrights or other intellectual property rights of third persons,

5.10.2. constitute a criminal offence or be otherwise unlawful (for example, contain Nazi swastika or the Communist hammer and sickle or another prohibited symbol);

5.10.3. be threatening, defamatory, or abusive,

5.10.4. be harassing,

5.10.5. be likely to deceive,

5.10.6. be harmful or attempt to harm in any way,

5.10.7. be made in breach of any legal duty,

5.10.8. invade other people's privacy,

5.10.9. contain pornographic, sexually explicit, or indecent elements,

5.10.10. constitute hate speech and be obscene, offensive, slanderous, or inflammatory,

5.10.11. promote discrimination based on race, religion, sex, sexual orientation or other grounds,

5.10.12. promote violence,

5.10.13. advocate or promote any illegal or immoral activity,

5.10.14. contain false, misleading or prohibited advertising,

5.10.15. contain confidential information (for example, passwords),

5.10.16. be ethnically, socially, politically, legally, morally, religiously, or otherwise objectionable.

5.11. Legego is not responsible for any errors or mis-spelling issues in Traveler’s uploaded Content. Traveler must, before uploading any image, video or text, examine it thoroughly himself.

5.12. By uploading images, video or text, Traveler grants Legego a right to use such image, video or text to the extent necessary to perform the Journey purchase-sale contract, as well the non-exclusive, royalty-free, worldwide right and licence to use, copy, share, modify, publish or otherwise exploit such image, video or text in any manner to promote and advertise the Journeys or the Platform in various media. Legego also has a non-exclusive, royalty-free, worldwide right and licence to use, copy, share, modify, publish or otherwise exploit your social media content in any manner to promote and advertise the Journeys or the Platform on Legego social media accounts (post, story etc.). Traveler MAY NOT sub-license, re-sell, rent, lend, assign, gift or otherwise transfer or distribute to any third party the licensed music or the right to use the Licensed Music separate and apart from the Production in which (pursuant to your license) it is embodied;

5.13. Legego takes no responsibility for images or videos uploaded by Traveler. However, Legego retains a right, at Legego's sole discretion, to check image, video or text using the confirmation system on the Platform and/or specific AI tools and delete the image or video if its quality is very poor, or if Legego doubts Traveler’s rights to the uploaded image, video or text, or if Legego has reason to believe that uploaded image, video or text may infringe third persons’ rights or other requirements mentioned above.

5.14. Traveler agrees to hold Legego harmless and indemnify Legego for all losses, damages, claims, and expenses including reasonable legal fees that are based on or related to uploaded images, video or text.

5.15. The features available to the Traveler will depend on Platform abilities, Account registration, and agreements between the Traveler and the Legego. The Legego reserves the right to change features from time to time.

5.16. Paragraphs 5.2-5.12 of these Terms and Conditions define acceptable usage of the Platform. The activities which are against those or are forbidden in any other way, violate the Terms and Conditions.

5.17. Usage of the Content. Traveler shall not copy, modify, transmit, distribute, sell, rent or sub-license the Content. It is expressly prohibited under these Terms and Conditions.

5.18. Traveler shall also not permit anyone else to copy, use, modify, transmit, distribute or in any way exploit the Content or copyrighted materials on the Platform.

5.19. It is also strictly forbidden to publish any received Content that could somehow violate or infringe, the rights of the Legego or the rights of the Third parties (including, but not limited to confidentiality rights, intellectual property rights and privacy rights).

5.20. Interference. Traveler shall not take any acts or behave in a way that could affect the functionality or security of the Platform or cause unreasonable inconvenience to the staff of the Platform.

6. FEES AND PAYMENTS

6.1. The Traveler agrees that the Platform takes 60% commission for administrating, storing, advertising and selling Travelers uploaded Content.

6.2. Traveler agrees that a payout for the sales of the uploaded Content happens once a month, on the last day of a month.

6.3. Traveler agrees to pay the taxes for the received money on his own, according to the Legislation to the Travelers place of residence.

6.4. The Traveler must pay for some available services using the Platform system and in the manner specified in the Terms and Conditions. The Traveler also may receive a reward in accordance with the Terms and conditions for its uploaded Content which is used by other Travelers for a fee. Traveler may familiarize himself with such Terms and conditions related to fees and payments. All fees on the Platform are accepted in euros, including the statutory VAT. Legego utilizes Stripe as the payment processing platform. By engaging in transactions with the Platform, Traveler acknowledges and agrees to comply with Stripe's terms of service. It is travelers responsibility to review and understand Stripe's policies.

6.5. Once the Traveler purchases Content from the Platform, the Traveler has 5 minutes to refund his money. If the Traveler issues a refund, the Traveler loses access to the bought Content and the money does not get charged. Once the 5 minutes are up, the Traveler gets charged for a purchase and has no right to receive a refund or file a claim with their bank.

6.6. Payments due to Platform usage are administered by the Legego on behalf of the Traveler (however the Legego does not perform merchant activities) using the payment administration services provided by third parties).

6.7. Legego does not determine the conditions of the services provided by any other Traveler or, any other criteria describing such Journey and is not responsible for the quality of such travel plan and their content and does not provide any guarantees regarding such Journey.

7. DISCLAIMERS AND LIMITATION OF LIABILITY

7.1. The Platform is provided on an "AS IS" and "AS AVAILABLE" basis without any representation or endorsement made and without warranty of any kind whether express or implied, including but not limited to the implied warranties of satisfactory quality, fitness for a particular purpose, non-infringement, compatibility, security and accuracy. Traveler must use its own device and Internet access to log in to the Account and receive Platform functionality.

7.2. To the extent permitted by law, the Legego shall not be liable for any loss or damages whatever (including without limitation loss of business, opportunity, data or profits) arising out of or in connection with the usage of the Platform.

7.3. The Legego provides no warranty that the functionality of the Platform will be uninterrupted or error-free, that defects will be corrected or that the Platform or the server that makes it available are free of viruses or anything else which may be harmful or destructive.

7.4. The Content is provided ‘as is’ and without any warranties, whether express or implied, except those that cannot be excluded under statute.

8. INDEMNITY

8.1. The Traveler agrees to indemnify and hold the Legego and its employees and/or agents harmless from and against all liabilities, legal fees, damages, losses, costs and other expenses in relation to any claims or actions brought against the Legego, arising out of any breaches committed by the Traveler under these Terms and Conditions or other liabilities arising out of Traveler’s use of the Platform.

9. Intellectual Property Rights

“Intellectual Property Rights” means all present and future rights conferred by statute, common law, or equity in or in relation to any copyright and related rights, trademarks, designs, patents, inventions, goodwill, and the right to sue for passing off, rights to inventions, rights to use, and all other intellectual property rights, in each case whether registered or unregistered and including all applications and rights to apply for and be granted, rights to claim priority from, such rights and all similar or equivalent rights or forms of protection and any other results of intellectual activity which subsist or will subsist now or in the future in any part of the world. This Agreement does not transfer to Traveler any intellectual property owned by MB "Rinkos Studija" or third parties, and all rights, titles, and interests in and to such property will remain (as between the parties) solely with MB "Rinkos Studija". All trademarks, service marks, graphics, and logos used in connection with the Services are trademarks or registered trademarks of MB "Rinkos Studija" or its licensors. Other trademarks, service marks, graphics, and logos used in connection with the Services may be the trademarks of other third parties. Traveler use of the Services grants Traveler no right or license to reproduce or otherwise use any of MB "Rinkos Studija" or third-party trademarks. This Agreement does not transfer to MB "Rinkos Studija" any intellectual property owned by Traveler, and all rights, titles, and interests in and to such property will remain (as between the parties) solely with the Traveler.

10. TERMINATION

10.1. Account may be cancelled by either party – the Legego or the Traveler. Content may be discontinued by other Travelers at their own discretion.

10.2. The Legego have the right to suspend the Account or Platform functionality for the Traveler if the Traveler violates these Terms and Conditions.

10.3. The Traveler has the right to cancel its Account anytime by submitting the cancellation request through his Account.

10.4. In cases where the Traveler‘s Account was used deliberately and intentionally to cause damage to any property in any shape or form, the Platform has the right to terminate the Account immediately, with or without any prior notification.

10.5. The Account is terminated immediately if the Traveler:

10.5.1. copies, modifies, reproduces, re-publishes, sub-licences, sells, uploads, broadcasts, posts, transmits or distributes any of the Content without the Legego‘s prior written permission;

10.5.2. removes any copyright or other notice of the Platform, the Legego or other intellectual property owner;

10.5.3. modifies, adapts, merges, translates, disassembles, decompiles, and reverse engineers (save to the extent permitted by law) any software forming part of the Platform.

10.5.4. cheats or plagiarises any material that the Traveler is required to prepare or submit in connection with the usage of the Platform.

11. SEVERANCE

If any of these Terms and Conditions should be determined to be invalid, illegal or unenforceable for any reason by any court of competent jurisdiction then such Term or Condition shall be severed, and the remaining Terms and Conditions shall survive and remain in full force and effect and continue to be binding and enforceable unless otherwise specified on additional documents supplied by the Legego.

12. GOVERNING LAW

These Terms and Conditions shall be governed by and construed in accordance with the law of the Republic of Lithuania and the Traveler submits to the exclusive jurisdiction of the courts of the Republic of Lithuania.
